1. Agreement
These Terms of Service ("Terms") govern access to boostspark.pro and the general framework for professional services provided by BoostSpark Pte. Ltd. ("BoostSpark", "we", "us"). By using this website or engaging our programmes, you ("Client", "you") agree to these Terms unless superseded by a signed statement of work ("SOW") or master services agreement ("MSA").
Where an SOW or MSA exists, its provisions prevail over these Terms to the extent of any conflict. These Terms apply to all visitors of the website and to clients in the absence of a more specific written agreement.
2. Description of services
The Service is a professional growth-communications programme delivered by BoostSpark Pte. Ltd. from Singapore, covering positioning, brand platform, campaign architecture and channel systems as scoped in each statement of work. Services include strategic consulting, creative direction, programme documentation and working sessions — delivered as structured programmes (P-01 through P-06) or advisory engagements.
Services are professional marketing and brand communications engagements. They are not investment products, financial advice, accredited qualifications, software licences or training courses. Deliverables are strategic documents, frameworks and direction — not guaranteed commercial outcomes.
3. Scoping and statements of work
Each programme is scoped in a written SOW describing milestones, deliverables, session cadence, timeline and commercial terms. Public pages on boostspark.pro describe programme formats and capabilities for general information only. No content on this website constitutes an offer, quote or binding commitment.
Changes to scope require a written change order agreed by both parties. Oral requests or email threads alone do not amend an SOW unless explicitly confirmed in writing by an authorised representative of BoostSpark.
4. Client responsibilities
You agree to:
- Provide timely access to relevant stakeholders for working sessions
- Supply accurate background materials, brand assets and audience information
- Review deliverables within agreed timeframes and provide consolidated feedback
- Designate a primary contact with authority to approve milestones
- Use deliverables in compliance with applicable laws and platform policies
- Make marketing and commercial decisions based on your own judgement
Delays caused by unavailable stakeholders or late feedback may adjust programme timelines. We will notify you promptly if timeline impact is expected.
5. Fees and payment
Commercial terms including fees, payment schedule and expense treatment are set out in the applicable proposal or statement of work — not on this website. Invoices are payable according to the SOW payment terms. Late payment may suspend work after written notice.
6. Intellectual property
Upon full payment of fees due under the SOW, Client receives ownership of final deliverables specifically created for the Client under that SOW — including positioning documents, brand platform guides, campaign blueprints and editorial frameworks, as listed in the SOW deliverable schedule.
BoostSpark retains ownership of pre-existing methodologies, templates, tools and know-how used to create deliverables. We grant Client a non-exclusive licence to use our pre-existing materials only as embedded in or necessary to use the final deliverables.
Client warrants that materials provided to BoostSpark do not infringe third-party rights. Client grants BoostSpark a licence to use Client materials solely to perform the SOW.
Unless agreed otherwise in writing, BoostSpark may display anonymised programme descriptions in portfolio materials without identifying the Client by name.
7. Confidentiality
Each party agrees to keep confidential non-public information received from the other party during an engagement. Confidential information excludes information that is publicly available, independently developed, or rightfully received from a third party without restriction.
Confidentiality obligations survive termination of the SOW for three years, except for trade secrets which remain protected for as long as they qualify as trade secrets under applicable law.
8. Warranties and disclaimer
BoostSpark warrants that services will be performed with reasonable skill and care consistent with professional standards for marketing and communications consulting in Singapore.
Except as expressly stated in the SOW, services and deliverables are provided without warranties of any kind, whether express or implied. We do not warrant specific commercial outcomes, lead volumes, search rankings, revenue results or audience growth. Marketing performance depends on many factors outside our control including market conditions, product quality, media spend decisions and execution by Client or third parties.
9. Limitation of liability
To the fullest extent permitted by Singapore law, BoostSpark's total aggregate liability arising from or related to an SOW shall not exceed the fees paid by Client under that SOW in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages, including lost profits or lost business opportunity, even if advised of the possibility.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
10. Term and termination
An SOW begins on the start date specified therein and continues until deliverables are completed or the SOW is terminated. Either party may terminate for material breach if the breach is not cured within fourteen days of written notice. Client remains responsible for fees for work performed through the termination date and non-cancellable commitments stated in the SOW.
Upon termination, BoostSpark delivers work-in-progress deliverables for which payment has been received, in the format available at termination.
11. Website use
Website content is provided for general information. You may not scrape, reverse-engineer or reproduce site content for commercial redistribution without written permission. You may link to public pages using a fair and accurate description.
We may modify or suspend the website without notice. We do not guarantee uninterrupted availability.
12. Personal data
Personal data is handled in accordance with our Privacy Policy and the Personal Data Protection Act (Singapore). By submitting the contact form, you consent to processing as described there.
13. Governing law and disputes
These Terms and any dispute arising from them or from an SOW are governed by the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts, subject to any arbitration clause in an applicable MSA or SOW.
Before commencing formal proceedings, the parties agree to attempt good-faith resolution through direct negotiation for at least fourteen days after written notice of the dispute.
14. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, pandemic restrictions, government actions, telecommunications failures or civil unrest, provided the affected party notifies the other promptly and uses reasonable efforts to resume performance.
15. General
These Terms, together with the applicable SOW and Privacy Policy, constitute the entire agreement regarding website use and the general services framework. If any provision is held invalid, the remainder continues in effect. Failure to enforce a provision is not a waiver. You may not assign your rights without our written consent. We may assign to an affiliate or successor in connection with a reorganisation.
